1. General

These Terms of Service ("Terms") govern the sale and delivery of all products ("Products") by Not Just Collectibles, LLC ("NJC", "we", "us" or "our") to any customer ("Customer"). By placing an order on our website at https://www.notjustcollectibles.com, you agree to be bound by these Terms in their entirety.

No other terms or conditions shall have any force or effect unless specifically agreed upon by NJC in writing signed by an authorized officer of NJC. Any terms or conditions submitted by Customer — whether in a purchase order, response or any other document — are hereby rejected and shall not be binding on NJC, even if NJC does not specifically object to them in each individual case. Delivery of Products does not constitute acceptance of any Customer terms or conditions.

These Terms supersede all prior oral or written communications, agreements or understandings between the parties regarding the sale of Products.

If any provision of these Terms is not acceptable to Customer, Customer must notify NJC immediately and must not place an order.

2. Orders and Confirmation

By placing an order on our website, Customer makes an offer to purchase Products subject to these Terms. NJC reserves the right to refuse any order for any reason or no reason. No order is binding on NJC until NJC confirms it by email (a "Confirmed Order").

NJC has no obligation to fulfill a Confirmed Order if Customer is in breach of any obligation under these Terms.

If Customer cancels or modifies a Confirmed Order, Customer shall bear all costs associated with such cancellation or modification. NJC may accept or reject any requested modification at its sole discretion.

Each Confirmed Order constitutes a separate agreement between the parties. Any failure to deliver under one Confirmed Order shall have no consequences for other orders.

3. Prices

All prices are as published on our website at the time of the order and are subject to change without prior notice. Prices are FCA Seabeck, WA, or such other location where Products may be stored from time to time, and include standard packaging.

Shipping costs, taxes, duties and any other charges levied in any jurisdiction in relation to the Products are the sole responsibility of Customer and will be added to the invoice as separate line items.

Any special shipping or transportation requests are subject to NJC's prior written approval and all associated costs shall be borne by Customer.

4. Payment

Full payment is due prior to delivery. Customer shall pay in US dollars by credit card, PayPal, or such other payment method as displayed on our website from time to time, without any discount, deduction or offset.

Customer is solely responsible for any fees incurred through their chosen payment method. No event beyond Customer's control — including loss, damage, force majeure or any other circumstance — shall release Customer from their payment obligations.

5. Delivery and Acceptance

All Products are delivered FCA Seabeck, WA, or such other location where Products may be stored. Title to and risk of loss for Products passes to Customer upon delivery to any carrier at NJC's warehouse. NJC may select any commercial carrier at its discretion.

All delivery dates and times are estimates only and are not binding on NJC. NJC may deliver Products in partial shipments and invoice separately for each. NJC shall not be liable for any delay in delivery, and no delay shall relieve Customer of the obligation to accept and pay for Products.

If Customer refuses or fails to accept delivery of any Products, Customer remains liable for all amounts due under the applicable Confirmed Order. In such event, NJC may, at its sole discretion, extend the delivery period, withhold or cancel delivery, or cancel any or all Confirmed Orders without further obligation to Customer. Customer shall be responsible for all costs, damages and losses suffered by NJC as a result.

6. Inspection and Claims

Customer must promptly inspect all Products upon receipt. Customer must notify NJC in writing of any apparent defects or non-compliance within 5 days of receipt, and of any hidden defects within 3 days of discovery. All claims for defective or non-compliant Products must be received by NJC within 6 months of delivery.

If Customer fails to notify NJC within these timeframes, or uses, destroys or modifies any Product known or reasonably suspected to be defective without NJC's prior written consent, Customer is deemed to have unconditionally accepted the Products and waived all related claims.

Products approved for return must be sent to the destination directed by NJC at Customer's sole risk and expense.

7. Returns

If Customer is not satisfied with a Product, returns are accepted under the following conditions:

  • The Product must be returned in its original, unaltered condition and original packaging
  • Returns must be received within 30 days of the date Customer received the Product
  • A Return Merchandise Authorization ("RMA") number must accompany all returns — contact us at info@notjustcollectibles.com to request an RMA number
  • Returns without an RMA number will not be accepted
  • A restocking fee of 50% of the product price will be deducted from the refund
  • Shipping costs are non-refundable
  • Refunds will be credited to the original payment method
  • Products are returned at Customer's sole risk and expense to the destination directed by NJC
  • Special order and configurable Products are not eligible for return or exchange under any circumstances

8. Limited Warranty

NJC warrants that Products are free from defects in material and workmanship at the time of shipment to Customer.

This Limited Warranty does not apply to defects, damage or failure resulting from:

  • Improper installation, use, storage, handling, operation or maintenance
  • Usage contrary to NJC's written instructions or recommendations
  • Pre-existing damage caused by the manufacturer
  • Unauthorized alteration, modification or repair
  • Acts or omissions of Customer or any third party after delivery
  • Force majeure events
  • Ordinary wear and tear

NJC is not responsible for damage occurring in transit. Transit damage must be reported to the carrier in writing immediately upon receipt, with NJC notified accordingly.

To make a warranty claim, Customer must contact NJC directly for instructions. All Products returned under warranty must include an RMA number provided by NJC. Failure to follow NJC's instructions may result in denial of the claim.

NJC reserves the right to test any allegedly defective Product. If a defect is confirmed, NJC shall, at its sole discretion, repair or replace the defective Product, or where repair or replacement is commercially impracticable, issue a refund or price reduction. Replacement or repair does not renew or extend the warranty period.

This Limited Warranty applies only to the original purchaser and is not transferable.

TO THE EXTENT PERMITTED BY LAW, THIS LIMITED WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO ALL CUSTOMERS.

9. Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NJC BE LIABLE TO ANY CUSTOMER OR THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, WHETHER ARISING FROM BREACH OF WARRANTY, BREACH OF CONTRACT, TORT OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT NJC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NJC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER OR THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER FOR THE SPECIFIC PRODUCT THAT GAVE RISE TO THE CLAIM.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE FOREGOING LIMITATION MAY NOT APPLY TO ALL CUSTOMERS.

10. Intellectual Property

All content on our website, including but not limited to text, images, logos, product descriptions and design, is the property of NJC or its licensors and is protected by applicable intellectual property laws. Customer may not reproduce, distribute or use any such content without NJC's prior written consent.

In the event of any violation or threatened violation of NJC's intellectual property rights, NJC shall be entitled to seek injunctive relief in addition to all other remedies available at law or in equity.

11. Force Majeure

NJC shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to power or infrastructure disruptions, governmental measures, cyberattacks, fire, severe weather, natural disasters, epidemics, pandemics, war, terrorism, labor disputes, shortages of materials or supplies, or other acts of God.

12. Assignment

Customer may not assign any order, right or obligation under these Terms without NJC's prior written consent. Any attempted assignment without such consent is null and void. NJC may assign its rights and delegate its obligations under any Confirmed Order at any time, including the right to collect any amounts owed by Customer.

13. Waiver and Severability

No waiver by NJC of any term or condition shall constitute a continuing waiver or a waiver of any other term. Failure by NJC to assert any right under these Terms shall not constitute a waiver of that right.

If any provision of these Terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Amendments

NJC reserves the right to amend these Terms at any time. Changes take effect upon posting to our website and do not apply to Confirmed Orders placed prior to the effective date of such changes. Customer is responsible for reviewing these Terms before each order.

15. Governing Law and Jurisdiction

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. The parties expressly exclude the application of the 1980 United Nations Convention on Contracts for the International Sale of Goods.

Any legal action or proceeding arising from these Terms shall be brought exclusively in a court of competent jurisdiction in the City of Seattle, State of Washington, except that NJC retains the right to bring proceedings against Customer in the courts of Customer's country of residence. Customer waives all objections to jurisdiction and venue in such courts.

TO THE EXTENT PERMITTED BY APPLICABLE STATE LAW, CUSTOMER IRREVOCABLY WAIVES ALL RIGHTS TO TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.
